These terms govern the sale of subscriptions, modules and related services offered on Orynela. They define pricing, payment terms, renewal, cancellation and complaint handling.

This complete legal page is currently available in French and English. Other site languages temporarily fall back to this version to avoid approximate contractual translations.

The binding prices, currencies, billing periods and contractual features are those displayed at the time of purchase on the pricing page, order summary and email confirmation. Orynela provides the service on a best-efforts basis and does not guarantee any financial result or trading performance.

Scope

These Terms of Sale apply to any paid subscription purchased remotely through the Orynela website. By placing an order, you acknowledge that you have read and accepted these terms without reservation. In accordance with article L.111-1 of the French Consumer Code, the essential characteristics, price and delivery terms of the service are communicated before the order is validated.

Plans, pricing and taxes

Available plans, main features, usage limits and prices are presented on the pricing page. Unless stated otherwise, prices are displayed in euros in the currency shown at checkout. Any VAT or applicable tax is added or displayed according to the professional's tax regime and the customer's location.

Order and activation

The order becomes final after payment validation or the first payable installment is successfully processed. Service access is then activated according to the selected plan, subject to any technical or anti-fraud verification considered necessary. A confirmation email summarizing the essential order details (plan, price, billing period, activation date) is sent to the email address associated with the account.

Payment and renewal

Payment is processed by Stripe or the payment provider indicated during checkout. Subscriptions are billed in advance and renew automatically each billing period unless cancelled before renewal through the billing portal or any equivalent tool provided in the dashboard. In accordance with articles L.215-1 to L.215-3 of the French Consumer Code (Chatel Act), Orynela will notify the customer by email, no earlier than three (3) months and no later than one (1) month before the renewal date, of the option not to renew the subscription. If this notification is not sent, the customer may cancel at any time and obtain a prorated refund for the unconsumed period.

Right of withdrawal

In accordance with article L.221-18 of the French Consumer Code, the customer has fourteen (14) days from the date of subscription to exercise the right of withdrawal, without needing to provide reasons or pay penalties. However, pursuant to article L.221-28, 13° of the French Consumer Code, a customer who expressly requests immediate execution of the service and acknowledges waiving the right of withdrawal once the service has been fully performed, can no longer exercise this right. This waiver is collected through an express consent checkbox during the subscription process. The model withdrawal form provided for in the annex to article L.221-5 of the French Consumer Code is available upon request at contact@orynela.ai. Withdrawal requests may be sent to the same address or through the billing section of the dashboard.

Legal guarantee of conformity

In accordance with articles L224-25-12 et seq. of the French Consumer Code, the digital content provided benefits from the legal guarantee of conformity for twenty-four (24) months from service delivery. In case of a lack of conformity found during that period, you may obtain compliance at no cost, or, if that is impossible or disproportionately costly, a price reduction or contract termination under the conditions provided by law.

Cancellation

You may stop automatic renewal at any time through your billing portal (Stripe portal) or by contacting contact@orynela.ai, in accordance with article L.215-1-1 of the French Consumer Code. Cancellation takes effect at the end of the period already paid for, unless the law or a more favorable commercial commitment provides otherwise. Unless expressly stated otherwise, no prorated refund is due for a period that has already started.

Minimum commitment

Unless otherwise stated on the plan at the time of subscription, subscriptions are taken without any minimum commitment beyond the current billing period.

Pricing or service changes

Orynela may evolve its pricing, functional scope or access conditions. If a change affects an ongoing subscription, notice is given at least one (1) month before the new pricing or terms apply to the next cycle. The customer may refuse the change and cancel before it takes effect.

Support, complaints and mediation

Any complaint related to an order, payment, invoice or cancellation must be sent to contact@orynela.ai. In accordance with articles L.612-1 and R.612-1 of the French Consumer Code, if a consumer dispute remains unresolved, the consumer customer may refer the matter free of charge to the mediation service identified in the legal notice. The customer may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

Liability and force majeure

Orynela undertakes to provide its services with reasonable care on a best-efforts basis. The service does not guarantee any financial result or trading performance. To the extent permitted by law and without prejudice to mandatory provisions of the French Consumer Code, its aggregate liability, for all damages combined, is limited to the amount effectively paid by the customer during the twelve months preceding the triggering event, except in case of gross negligence, fraud or mandatory public-order law. Any delay or failure caused by force majeure within the meaning of article 1218 of the French Civil Code, carrier incidents, third-party providers or broker unavailability shall not trigger liability.
